1. Acceptance of Terms

By using our website or Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

2. Description of Services

Neurixa provides AI infrastructure and autonomous AI Employee products for enterprise workflows, including AI-driven SEO, marketing, sales, customer support, analytics, workflow automation, real-time data movement, voice AI, bill-of-materials intelligence, and automated testing.

Specific features, service levels, pricing, and deployment terms for paid Services are set out in a separate order form, proposal, or subscription agreement executed between Neurixa and the customer. Where these Terms conflict with a signed order form, the order form controls for that engagement.

3. Eligibility & Account Responsibilities

The Services are intended for business use and are not directed at individuals under 18 years of age. If you are provided with account credentials or API keys, you are responsible for maintaining their confidentiality and for all activity that occurs under your account. 4. Acceptable Use

When using the Services, you agree not to:

• Violate any applicable law, regulation, or third-party right, including intellectual property and data protection laws.
• Reverse engineer, decompile, or attempt to extract the source code of our software, except as permitted by law.
• Use the Services to transmit malware, conduct unauthorized penetration testing, or interfere with the integrity or performance of our infrastructure.
• Resell, sublicense, or provide access to the Services to third parties without our prior written consent.
• Use automated AI Employees or agents provisioned through our platform to generate unlawful, defamatory, or fraudulent content.

5. Intellectual Property

All right, title, and interest in the Services — including software, models, designs, trademarks (Neurixa, WingerX, PRISM, BOMB, and related marks), and documentation — remain the exclusive property of Neurixa Solutions Private Limited and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with your subscription; no other rights are granted.

Any feedback, suggestions, or ideas you provide about the Services may be used by Neurixa without restriction or obligation to you.

6. Customer Data

As between the parties, you retain all rights to data you submit to the Services ("Customer Data"). You grant Neurixa a limited license to process Customer Data solely to provide, secure, and improve the Services, in accordance with our Privacy Policy and any applicable data processing agreement.

7. Fees & Payment

Pricing for paid Services is provided on request and set out in an order form or invoice. Unless stated otherwise, fees are quoted exclusive of applicable taxes (including GST), which you are responsible for. Late payments may result in suspension of Services following written notice.

8. Third-Party Links & Services

The Services may integrate with or link to third-party platforms (such as PLM, ERP, CRM, or communication tools). Neurixa is not responsible for the content, security, or practices of third-party services, and your use of them is governed by their own terms.

9. Confidentiality

Each party agrees to protect the other's confidential information disclosed in connection with the Services using at least the same degree of care it uses for its own confidential information, and not to disclose it to third parties except as permitted under a signed agreement or required by law.

10. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Neurixa disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated outputs may contain errors; you are responsible for reviewing outputs before relying on them for business-critical decisions.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Neurixa and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Services. Our aggregate liability for any claim arising under these Terms shall not exceed the fees paid by you to Neurixa in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold Neurixa harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Services or violation of these Terms.

13. Termination

We may suspend or terminate access to the Services for material breach of these Terms, non-payment, or unlawful use, following notice where practicable. You may terminate a paid subscription in accordance with the terms of your order form. Upon termination, your right to use the Services ceases, though provisions relating to intellectual property, confidentiality, liability, and dispute resolution survive.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved amicably; failing which, it shall be subject to the exclusive jurisdiction of the competent courts at Vadodara, Gujarat, India.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected on this page with an updated effective date. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
